This summary is for convenience. The terms below are the agreement.
1. Who this agreement is between
This Qatom Max Launch Offer Agreement (the “Agreement”) is between TODAQ Micro Inc., a Delaware corporation doing business as Qatom (“Qatom,” “we” or “us”), and the company named in the sign-up form (“Customer” or “you”).
The Agreement starts on the date you accept it online (the “Start Date”). In this Agreement a “month” means one calendar month, counted from the Start Date. For example, if you accept on 10 October, month 1 runs from 10 October to 9 November.
2. The Max plan
During the Term you get the Qatom Max plan, which includes:
- unlimited agents;
- unlimited transactions;
- up to 1,000 catalog items;
- Twin URLs and API keys;
- priority onboarding from our team; and
- no Qatom transaction fees.
The Max plan, together with the related software, documentation and updates, is the “Service.” We keep improving Qatom and may change features, but we will not materially reduce the features listed above during a Term that has already started.
Fees charged by third parties you choose to use, such as your bank or card provider, are between you and them.
3. Your first six months are free
Your first Term is twelve (12) months from the Start Date. Months 1 through 6 are the “Free Period.” The subscription fee for the Free Period is US$0, and you do not need a payment method to start.
4. Cancelling or moving to Pro during the Free Period
At any time during the Free Period you may either cancel or move to the Qatom Pro plan, as described below.
You may cancel at any time up to 11:59 p.m. Eastern Time on the last day of month 6. To cancel, email [email protected] from your account email address, or use any cancellation option we provide in your Qatom dashboard.
If you cancel during the Free Period you owe nothing: no subscription fee and no cancellation fee. Your access ends on the date you choose in your notice, or at the end of the Free Period if you do not choose a date.
Instead of cancelling, you may move to the Qatom Pro plan by the same deadline and by the same methods. Your Max plan continues free until the end of the Free Period, or until an earlier date you choose, and Pro starts the day after. Pro is billed monthly in advance at US$20 per month, has no annual commitment, and you may cancel it at any time, effective at the end of the month you are in. We may change the Pro price with at least 30 days’ notice.
Pro plan limits apply from the day Pro starts. They are currently 3 agents, up to 50 catalog items and up to 250 transactions per month. If your account is over those limits we will tell you before the switch so you can choose what to keep. After a move to Pro, this Agreement continues to govern your Pro subscription, except Sections 3, 5 and 6 and the Max features listed in Section 2. From then on, “Service” means the Pro plan.
We will email you a reminder at least 30 days, and again at least 7 days, before the Free Period ends. Each reminder will explain how to cancel and how to move to Pro.
5. Months 7 to 12 and payment
If you have not cancelled or moved to Pro by the end of the Free Period, this Agreement continues through month 12 and you agree to pay US$300 per month for months 7 through 12 (US$1,800 in total).
Before the Free Period ends we will ask you to add a payment method in your dashboard. Fees are billed monthly in advance, in US dollars, starting on the first day of month 7. Fees do not include applicable taxes, which we will show separately.
Fees for months 7 through 12 cannot be cancelled and are not refundable, except as Section 11 provides. If a payment fails we will tell you and give you at least 10 days to fix it before we suspend access. The unpaid amount remains owed.
6. Renewal
At the end of month 12 this Agreement renews automatically for another twelve-month Term at our then-current Max annual price, billed monthly, unless either of us gives notice of non-renewal at least 30 days before the renewal date. Renewal Terms do not include a Free Period.
We will email you at least 45 days before each renewal date with the renewal price. If that price is higher than what you paid in the current Term, you may cancel the renewal by notice at any time before the renewal date, even inside the 30-day window.
7. Your data
You own your data, content, catalog items, products and services (“Customer Data”). You permit us to host, process and transmit Customer Data only as needed to provide and support the Service, and in line with our Privacy Policy at qatom.ai/legal/privacy.
For 30 days after this Agreement ends you may export your Customer Data using the tools in the Service or by asking us.
8. License and acceptable use
We grant you a non-exclusive, non-transferable right during the Term to use the Service for your business. We and our licensors keep all rights in Qatom, the Service and the related software, documentation and technology.
You will use the Service lawfully and in line with our documentation. You will not: resell or sublicense the Service itself, except as the Service is designed to allow, such as selling your own products and services through it; reverse engineer it, except where the law permits; or use it to break the law, infringe anyone’s rights, or disrupt the Service or other users. You are responsible for activity under your account and your API keys.
9. Warranty
We will provide the Service substantially as described in our documentation, with reasonable care and skill. Features we label beta or preview are provided as is.
Except as stated in this Agreement, the Service is provided “as is,” and to the extent the law allows we disclaim implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
10. Liability
Neither party is liable to the other for indirect, consequential, special, incidental or punitive damages, or for lost profits or revenue, even if told they were possible.
Each party’s total liability arising out of this Agreement is limited to the greater of (a) the fees paid or payable by you under this Agreement in the twelve months before the event giving rise to the claim, and (b) US$1,000.
These limits do not apply to your obligation to pay fees, to either party’s liability for fraud or willful misconduct, or to liability that cannot be limited by law.
11. Suspension and termination
Either party may end this Agreement by written notice if the other materially breaches it and does not fix the breach within 30 days of receiving notice.
We may suspend access immediately if needed to prevent a security risk, serious harm to the Service or its users, or illegal use. We will tell you why and restore access once the issue is resolved.
If you end this Agreement because of our uncured breach, we will refund any fees you prepaid for the unused part of the Term.
Sections 7, 8 (as to our ownership), 10, 11 and 14 survive the end of this Agreement.
12. Offer eligibility
The Max Launch Offer is for new Qatom Max customers signing up for business purposes, one per organization. It is available to a limited number of founding customers, and we may close it to new sign-ups at any time. Closing the offer does not affect an Agreement you have already accepted.
You may move to an Enterprise plan at any time on terms we agree separately.
13. Accepting electronically
By checking the agreement box and submitting the sign-up form, you accept this Agreement and confirm that you are authorized to bind the Customer. Your electronic acceptance has the same effect as a handwritten signature.
We will email a copy of this Agreement to the address you provide and keep a record of your acceptance, including the date, the time and the version of this Agreement you accepted.
14. General
Delaware law governs this Agreement, without regard to its conflict-of-law rules.
This Agreement is the entire agreement about the Max Launch Offer and replaces prior discussions about it. If you also accept the Qatom Terms of Service, this Agreement controls on anything it covers. Changes must be in writing and agreed by both parties; we cannot change this Agreement during a Term by posting new terms.
Notices are given by email: to us at [email protected], and to you at the work email in your sign-up or your account.
Neither party may assign this Agreement without the other’s consent, except that either party may assign it on notice to an affiliate or to a successor in a merger, reorganization, change of corporate name or sale of substantially all of the relevant business.
If any part of this Agreement is unenforceable, the rest stays in effect. Neither party is liable for delays caused by events beyond its reasonable control.
